1. Client provides clear and complete requirements and expectations upfront, including reference materials or assets before Work begins.2. Client grants the Rigger non-exclusive rights to reference and replicate Client-provided materials solely for the creation of the commissioned Work.3. Client warrants that the character design, reference material and other intellectual property provided to the Artist are legally obtained and authorised for use by the Client.4. Client warrants that they have the authority to enter this agreement, be the point of contact and is solely responsible for decisions and approval during the process.5. Rigger strives to perform to the best of their ability in good faith and warrants Work is 100% original according to Rigger’s best knowledge.6. Rigger may use commercially licensed, copyright-free and/or educational materials, assets and/or tools.7. Rigger warrants that they will not copy or heavily reference unauthorised materials.8. Rigger reserves the right to refuse projects or requests based on content, subject, or other reasons.9. Rigger defines scope of work, features, price, deliverables and other details for the project in a proposal in a format according to Artist discretion which may include private message through Discord or Twitter, VGen platform, Google document, or email.10. The details set forth by the Rigger shall be agreed upon by the Client before work begins.
1. Rigger will not create content that is explicit, offensive, or inappropriate.2. Specific restrictions include but are not limited to furries, mechs, explicit adult content, underage characters, excessive muscles, gore, copied styles subject to Artist discretion.
1. Work completion requires a minimum of three (3) weeks and may take up to eight (8) months, depending on the complexity of the project, unless a specific deadline has been communicated and agreed upon by both the Client and the Rigger. If a deadline has been communicated and agreed upon in advance, the Rigger will make reasonable efforts to work in accordance with the agreed deadline to ensure timely delivery of the project. The number and scope of revisions may affect the delivery timeline; Clients are advised to take this into consideration when requesting revisions for projects with a fixed deadline.2. Timeline depends on commission type, complexity, and workload. Client should plan launches and streams accordingly.3. Rigger provides progress updates and seeks Client feedback voluntarily.4. Final deliverables are provided by the Rigger using the VGen platform, email, Google Drive or similar file transfer tools, in moc3, PSD, PNG, JPG formats as applicable. Any files hosted by the Rigger will be available for the Client to download for twelve (12) months.5. The Client is solely responsible for storing and maintaining all delivered files. The Rigger shall not be responsible for retaining or providing files after twelve (12) months from delivery.6. If there are any delays and adjustments to timeline, the Rigger will inform the Client. Clients must first agree to delays and amendments to timeline exceeding one (1) month through standard communication channels.7. Clients have the right to request refunds three (3) months after deadlines according to <cancellation and refund 3.>. if Work has not been delivered and there was no agreed upon amendment to the timeline.8. Rigger shall provide additional set-up and calibration services to the Client. The Client may elect not to utilize these services. Minor edits to the delivered product may be requested within three (3) months following delivery. After this period, the Rigger shall have no obligation to address any issues or provide modifications to the product.9. Any commission requested by a non-waitlist Client that requires completion within three (3) weeks from the request date shall be considered a rush commission and is subject to the Rigger’s availability and approval.
1. Two minor revisions are allowed per item shown to the Client during the process. Items include eye movement, mouth movement, facial
movement, head angle movement, hair and accessory angle movement, body angle movement, body physics movement, and extra toggles. If the Client requests specific rigging behavior, the Client must provide appropriate reference materials. Otherwise, the Rigger will rig the item based on their professional experience, skill, and knowledge.2. If the Client does not provide the required item references in advance, the Rigger has the right to refuse any major revisions. A major revision is defined as, for example, a completely different style of movement that would require undoing all previous work on the item.3. Additional charges for excessive or major revisions may be required.4. Revisions may affect progress and timeline.5. Clients may not edit the work after final delivery unless specified in the commission information, project outlines or otherwise approved by the Rigger.
1. Ongoing communication and discussion will occur throughout the project, including work in progress, idea generation and collaboration, situational updates, and more.2. Communication channels may include a dedicated commission Discord server, Discord, Vgen, or Twitter private messages, Trello, or others according to Artist discretion.3. Rigger response time may vary, up to one (1) week in order to provide better or more concrete updates.4. The Rigger and Client agree to discuss relevant matters concerning the project. Both parties have the right to decline other topics of discussion.
Rigger General Rights1. The Rigger retains the right to share work-in-progress content on social media platforms, including but not limited to Twitter, VGen, Discord, and to stream the creation process on platforms such as Twitch or YouTube. This right is waived only if the Client has paid an NDA fee as agreed prior to the start of the project, or if some or all of these rights are expressly transferred to the Client under the project agreement or specifications.2. The Rigger is not obligated to provide access to the raw (.cmo3) file unless specifically requested and paid for by the Client. If the Client requests access to the raw file, the Rigger shall no longer be responsible for any issues arising from the raw file. The Rigger reserves the right to refuse any additional work performed on an edited raw file that was modified by the Client or a third party. The Rigger is not responsible for any unlawful, offensive, or otherwise inappropriate content added to the raw file after delivery....Client Rights for Commercial Use Licensed Works1. Commercial usage rights included in general vtuber rigging
commissions.2. Commercial rights for VTube models include the use of the Work in streams, videos, advertisements, and other content, as well as in
any similar monetized applications. Commercial distribution rights refer to the sale or resale of the Work to another party, whether as part of a product, merchandising, or on any other platform.3.In the event that the Client wishes to resell the commissioned product, the resale price shall not exceed the original commissioned value. The Client does not require the Rigger’s permission to resell the product; however, the Client must notify the Rigger of the new owner and provide any relevant information about the new owner, such as social media handles or contact details.4. Usage of Work for AI (artificial intelligence) tools, platforms or programs; ML (machine learning) tools, platforms or programs; AI
or ML training; NFT; blockchain; or other for-profit platforms/purposes, is strictly prohibited.5.Client must not claim Work as their own and must credit Rigger using their social tag/username/link at the instance of display of the Work or permanently on their websites, social media profiles, broadcast channels and so on where possible.
1. A secure waitlist booking requires a deposit equal to one-hundred percent (100%) of the total commission fee. The deposit will be applied toward the total project fee.2. For regular waitlist commissions, the Client shall pay a downpayment of fifty percent (50%) of the total fee. Alternative payment plans may be negotiated between the Client and the Rigger prior to the start of the project.3. For regular waitlist commissions, The Rigger will request final payment upon reaching the appropriate stage of the project. Failure to pay the requested fee may result in delays to the commission. If the Client does not respond to the payment request within 6 months, the Rigger reserves the right to cancel the commission and deliver only the work completed up to the point of the last payment.4. Invoices, proposal or payment link will be sent to the Client when Rigger is ready to begin work. Clients must not send money before these requests for payment from the Rigger.5. Invoices must be paid within seventy-two (72) hours, or the project may be cancelled.6. Prices are in USD, and paid via VGen, Stripe, PayPal, or methods as provided by the Artist.7. Prices may vary or change depending on complexity, requirements and/or additional requests.8. Once Work has begun or payments have been made, the Client acknowledges Work and deliverables are digital and there are no physically shipped goods to receive.9. Client agrees that they will not issue chargebacks and the refund policy mentioned below will be followed.10. Rush commissions requested by non-waitlist Clients that require completion within three (3) weeks are subject to an additional rush fee. The rush fee amount shall be determined based on the project scope, complexity, and required timeline, and must be agreed upon by both the Client and the Rigger prior to the commencement of work.
1. If Client requests cancellation, seventy-five percent (75%) of project fees may be forfeit if cancelled within two (2) days before work starts. A partial to full refund may be provided if there is more than two (2) days’ notice.2. No refunds are possible after work begins unless initiated by the Riggerand except for circumstances due to the Rigger as detailed in <3>. and Section <Timeline and Process>.3. If Rigger cannot complete work or there are delays as detailed in Section <Timeline and Process> for unforeseen reasons, the Client may be eligible for a full refund. If work done up to this point is accepted, the Rigger will provide a partial refund according to the amount of work completed.4. In the event that any additional charges for add-ons are cancelled by mutual agreement between the Client and the Rigger, the corresponding portion of the fee shall be refunded.

The Rigger and Client acknowledges that information and materials that are provided to either party (including but not limited to personal information, technical information, marketing plans, payment information, or sensitive business information) outside of the development of Work, that will not be visible to the public, shall be considered confidential information and shall not be disclosed to any other party without prior written permission from the owner of this confidential information.
1. Client indemnifies Rigger against claims, losses, damages, and expenses related to Work usage by the Client, breach by the Client of the Agreement, or third-party claims.2. If Client's rights and the terms of this agreement are violated or the Work is not delivered as agreed, due to Rigger negligence, Rigger will work to remedy the situation first according to the terms aforementioned and otherwise to the satisfaction of the Client.
1. Client is 18+ and legally able to commit to an agreement or has a legal guardian to make this agreement on their behalf.2. Agreement date is upon first transaction. (or by use a digital signature program for a more legally binding and enforceable agreement if the Rigger does choose to)
